“Time is more valuable than money. You can get more money, but you cannot get more time.” — John Rohn H appy New Year! I hope everyone had a happy and safe holiday season. The turn of the New Year reminds us that another year is in our rear-view mirror and hints to us on how precious time is. Like many of you it’s also a time for our New Year’s resolutions with fresh ideas for our professional and personal lives with promises to ourselves that this year we’re sticking to them. Have you made your New Year’s resolution yet and are you sticking with it, or has it already fallen by the wayside? My personal resolution came right from the CAI-NJ Annual Retreat. Do you remember my challenge? I advise you to find at least two people this year you’ve never spoken with or haven’t met yet, but you see them at just about every CAI event. Maybe it’s a competitor, or someone whose circle you have never run in. Reach out and get to learn about and know that individual to create new friendships which may lead to new opportunities. We can never make more time in life. So, embrace the challenge, step out of your comfort zone and expand your network of friends. I’m honored and excited to serve as the Chapter’s President for 2023. We had a fantastic turn out for the Annual Retreat & Winter Break Party last month. I had the opportunity to speak with many of the committees and it’s looking like a packed slate of great events this year that we’re all excited about. There will be many educational and networking events for our entire membership, so I encour age everyone to come out and learn something new, while having a good time with our chapter members. If you know someone in one of your communities or a coworker who’s not a member and is curious to learn about CAI, please invite them along to give it a try. In this month’s magazine we’re focusing on ‘Board Basics’, so whether you’re a seasoned veteran or someone just starting out, we’re offering a few articles about the basics of meetings, communications with owners and the community, forming and utilizing committees and choosing your professionals. It was a fantastic 2022 filled with so many enjoyable moments and I am looking forward to what 2023 has in store for us. We all have this opportunity to improve ourselves and to make a difference for others as each day is a new beginning, a chance to get it right. LEGISLATIVE UPDATE

I hope that everyone had a wonderful holiday and a happy New Year! We would like to thank our outgo ing New Jersey Legislative Action Committee (NJ-LAC) members George Greatrex, Esq. from Hill Wallack LLP and Joe Chorba, CPA from WilkinGuttenplan. As you all know, George was the prior chair of the LAC and made invaluable contributions which were recognized both by our New Jersey Chapter (2021 Committee of the year) and CAI National (2020 LAC of the year). Joe has been our treasurer for many years and has kept us on an even financial keel. We also would like to welcome our incoming members, Mohammad Salyani, CPA from WilkinGuttenplan and Terry Kessler, Esq. (appointment from the Keystone Chapter) from Hill Wallack LLP. By way of updates, LAC Vice Chair Ed San George, PCAM and I attended an event for Senator Robert Menendez in mid-December. We were fortunate enough to have several minutes to speak with him and we discussed the need to revise the Fannie Mae and Freddie Mac under writing guidelines that were implemented in the wake of the Surfside tragedy. We are working together with our nation al legislative team to continue the dialogue with Senator Menendez, Fannie, and Freddie, and hope to see revised underwriting guidelines sometime in the future. In addition, Ed’s structural integrity task force continues to put in enormous efforts to see the structural integrity bill (S2760/A4384) over the finish line. There have been a

number of formal and informal meetings with legislative aids and representatives of other stakeholders, including the builders lobby and the rental lobby. There is some sig nificant opposition that will need to be addressed before the legislation is passed. Speaking of “back to the basics,” we encourage board members to attend our legislative updates, such as the one

we held in December, where we give overviews of all of the significant pending legislation. Finally, what can be more basic than board member training? Recall that Assemblywoman Annette Quijano introduced a board member training bill in the last legis lative session and re-introduced it for this session as well. The bill has not been a priority for the legislature and has languished for the last several years. However, you do not need a law to get your board members trained up. CAI has all types of training materials available to board members, and we encourage them to take advantage of it. ◼

Jules C. Frankel was a long time member of CAI and was a key figure in the success and growth of our chapter. Jules was President of the New Jersey chapter in 2000. Jules also received the follow ing awards from CAI-NJ: Speaker of the Year in 2003, Author of the Year in 2004 and the Jerry Fien Distinguished Service Award in 2015. Jules was inducted in the CAI-NJ Hall of Fame in 2003. Jules was a staunch advocate for manager education and training and was always willing to help with seminars and industry educational programs. The Jules C. Frankel Manager Education Assistance Program (MAP) was developed to assist New Jersey managers in the common interest community industry in furthering their educational and professional development goals. The MAP provides the opportunity to any CAI-NJ manager member in good standing to apply for a scholarship.

CAI-NJ will provide a fifty percent (50%) reimbursement per course to selected managers for any of the 100, 200, or 300 courses offered by CAI. More than one award may be given per applicant.

AWARD: • The MAP awards a deserving candidate $250 per course (100, 200 and 300 level courses) towards the PMDP course of his/her choice. More than one award may be given during a calendar year. • The Scholarship Review Group will award scholarships once per year no later than April 28 th , 2023. • Scholarships must be used for PMDP courses offered by any CAI Chapter or CAI National. All courses may be in person or online. ELIGIBILITY: • At the time of the application and the reimbursement, you must be a member in good standing with the Community Associations Institute and the New Jersey chapter of CAI. • You must have attended at least two (2) CAI-NJ events during the last 12 months. (in-person or virtual) • You may be asked to provide a follow up piece that will be printed in the Community Trends ® magazine that summarizes your experience with the MAP and the ways that it has allowed you to advance your professional goals. CAI-NJ reserves the right to modify any content prior to print. DEADLINES: • All applicants must submit entry no later than March 31 st , 2023 in order to be considered for a scholarship award. Selections will be made no later than April 28 th , 2023. PROCESS: • Interested candidates must fill out the attached application and answer the questions for review prior to dates. All entries must be typed and complete to avoid disqualification. Entries must be mailed to the chapter office or printed to PDF and emailed to info@cainj.org. • Anonymous essays are evaluated and award recipients will be selected by the Scholarship Review Group. Should there be a conflict on the committee (meaning that a company representative is evaluating an entry for the same company), that committee member will remove themselves from the process and not participate in the review/selection of the candidates. Since this is an anonymous process, the Chapter Executive Director will inform the Scholarship Review Group members of the conflict. • Selected managers must submit verification of course completion to the CAI-NJ office within 30 days of conclusion of the course to receive the scholarship reimbursement. • All classes must be completed by December 31 st , 2023. O ne of the most important aspects of operating a community association is properly calling and documenting an open board meeting. This is especially true for associations that may have had board turnover and are now reconvening for the new year. Understanding that an association operates as a corpo ration, which requires meetings to be properly called and actions properly approved and memorialized, are essential to ensure transparency and accountability. The following is a summary of some of the recent changes to the law as embodied in the Radburn Bill and associated regulations relating to open board meetings. Of course, each commu

nity may have its own requirements and any specific questions should be discussed with the association’s attorney.

NOTICE – Does your community know about the meeting? 1. Post a schedule of your Association’s open board meet ings within seven days of your annual meeting. Put this schedule on the property in an area that is accessible to everyone, on your association’s website, and as part of a mailing to the membership.

2. At least seven days before a board meeting, notify the membership of the agenda, which includes items for dis cussion, items for action and recurring items. This should be posted in the same places as the meeting schedule. 3. If there is an emergency that requires immediate board action, an open board meeting and notice of the meet ing must still be provided, but the meeting can be held sooner than seven days. Minutes taken at the meeting must indicate the facts establishing the emergency and any prior knowledge of the condition necessitating the emergency action. BOARD ACTION – Did you properly vote on an issue? 1. A quorum of the board is necessary to hold an open board meeting. Most bylaws define a quorum as a majority of board members present at a meeting. 2. A binding board action must be made at a meeting of the board that is open to the membership. Even deci

sions that are often considered confidential or private, such as litigation, collections, etc. must be made at an open session to be binding. It is strongly recommended that each association confer with the attorney as to how to comply with this regulation while maintaining privacy rights and confidentiality. 3. Prior to a vote the board must provide a brief explana tion as to the basis for and cost entailed in the matter that is the subject of any binding vote. 4. Allowing the membership to speak at a board meeting is not required and the board should adopt rules and regulations regarding membership participation at the meetings so that they can be applied uniformly. 5. However, each board member does have the opportunity to participate in a board meeting and cannot be excluded.

MINUTES – Did you properly document the meeting? 1. Prior to any meeting, the board should designate a board member or officer, usually the Secretary, to take down meeting minutes. 2. Meeting minutes must include the board members that are present and their titles. 3. Clearly document any issues being discussed by the board, even if they are not being voted on at that time. 4. Clearly document any matters being voted on, a record of the votes, and a brief explanation as to the basis for and cost entailed in the matter which is the subject of the vote. 5. Make the minutes available to the membership prior to the next meet ing, even if they are still in “Draft” or “Unapproved” format. 6. If a meeting is recorded electroni cally, written meeting minutes must still be taken. Note that both the electronic recording as well as writ ten meeting minutes must be made accessible to the membership. It is recommended that an association implement a records retention pol icy to notify the membership how long records will be maintained and how to go about accessing them. Taking these straightforward steps while running board meetings, along with relying on the advice of coun sel, will help associations stay within the requirements of the Radburn Bill and other laws governing association meetings. ◼

T he board member’s role in a community association is essential and certainly not for the faint of heart. Board members oversee the day-to-day operations, financial management, governance, resident communica tion, maintenance, long-term planning, and much more. Did I mention animal control? Conflict resolution? Most importantly, board members are the community cheerlead ers, encouraging resident involvement and making it a home for all to enjoy. Here are ten tools that every board member should have in their toolbox to facilitate fiduciary responsibility, navigate everyday tasks, and ensure community success.
